Terms of Service

These Terms govern access to and use of Taja.Shop’s marketplace. Please read them carefully before creating an account or transacting on the Platform.

Definitions

“Platform”, “Taja.Shop”, “we”, “us” or “our” refers to Taja Shop Technologies Limited, a company incorporated in Nigeria. “User”, “you” or “your” refers to any person accessing or using the Platform, including Buyers, Sellers and Visitors. “Products” means goods or digital services listed for sale on the Platform. “Escrow” refers to the settlement framework managed by our licensed payment partners. “Applicable Laws” covers every Nigerian statute, regulation or guideline that governs e-commerce, consumer protection, data protection (including the Nigerian Data Protection Regulation 2019), tax, financial services, IP and anti-money laundering obligations.

Eligibility and Account Registration

You must be at least 18 years old, have legal capacity to contract and reside in a territory where we operate. By creating an account you confirm that all information supplied is accurate and up to date. You agree to keep your credentials confidential, adopt multi-factor authentication where offered and notify us immediately of any compromise. We may request additional verification (including Bank Verification Number, NIN or CAC filings) before activating or maintaining seller privileges.

  • Corporate Sellers must upload valid CAC incorporation documents, tax identification number and evidence of authorized signatory.
  • We reserve the right to reject, suspend or close accounts that fail KYC/KYB checks, appear on sanctions/PEP lists, or present elevated risk.
  • Accounts are personal; transfer or sale of login credentials is prohibited.

Marketplace Relationship

Taja.Shop provides a technology marketplace that connects independent Sellers and Buyers. Unless expressly stated, we are not a party to transactions between users. Sellers act as independent merchants responsible for their listings, compliance, warranties, taxes and customer support. Buyers contract directly with Sellers when placing orders. We provide payments infrastructure, escrow release logic, dispute resolution tooling and logistics integrations but do not take title to products at any point.

Seller Onboarding & Product Standards

Sellers must ensure that every product or service listed is lawful, accurately described, in-stock (or clearly flagged as pre-order), and accompanied by authentic photographs. Counterfeit, dangerous, recalled or restricted items (such as firearms, narcotics, endangered species, medical devices without NAFDAC approval, or pirated media) are prohibited.

  • Each listing must disclose total price, condition, key specifications, warranty coverage and expected dispatch timeline.
  • Sellers must comply with Nigerian Consumer Protection Framework (Federal Competition and Consumer Protection Act 2018) and any sector-specific rules.
  • We may request documentation (purchase invoices, regulatory approvals, lab test reports) to verify authenticity or safety claims.

Pricing, Payments and Escrow

All prices must be quoted in Nigerian Naira (₦) unless otherwise stated and must incorporate applicable taxes and statutory fees. We process payments via PCI-DSS compliant partners including Flutterwave and Paystack. Buyers authorize us to debit the selected payment method and hold funds in escrow until order confirmation, delivery verification or expiry of dispute window.

  • Escrow release: funds are remitted to Sellers after Buyer confirmation or lapse of the inspection period, net of platform fees, chargebacks, refunds and penalties.
  • Sellers must provide accurate payout bank details domiciled in Nigeria and authorize us to offset unpaid amounts, chargebacks or regulatory fines.
  • We may place holds, reverse settlements or request additional documentation if fraud, AML concerns or regulatory directives arise.

Shipping, Delivery and Risk of Loss

Sellers are responsible for packaging, dispatch and timely delivery except where a Taja.Shop logistics partner is engaged. Risk of loss passes to Buyer when the item is delivered to the address specified at checkout. Sellers must provide tracking details and cooperate with last-mile partners. Failure to dispatch within the promised window may trigger automatic order cancellation, refund and penalties.

When our managed logistics service is used, the Seller authorizes us to schedule pickups, insure the shipment and deduct applicable shipping charges from settlement.

Returns, Refunds and Dispute Resolution

Buyers may raise disputes within the published inspection window (typically 48 hours after delivery) for defective, damaged, counterfeit or materially misdescribed products. Our support team will review evidence, liaise with both parties and determine an outcome based on the Seller’s stated policy and Nigerian consumer law.

  • Where a return is approved, Buyers must return goods in original condition with accessories; Sellers must facilitate pickup or provide a return address.
  • Refunds are processed to the original payment method or wallet balance within a reasonable period subject to gateway timelines.
  • Our decision regarding a platform-mediated dispute is final within the scope of the Platform. Parties may pursue external remedies allowed by law.

Fees, Taxes and Withholding

We may charge listing fees, transaction commissions, subscription or value-added services as communicated on the Platform. Fees are subject to change with at least 14 days’ notice.

  • Sellers are solely responsible for assessing, collecting, remitting and reporting all statutory taxes (including VAT, Withholding Tax, Personal Income Tax or Company Income Tax) arising from sales.
  • Where mandated by law, we may withhold taxes or levies from settlements and remit to appropriate authorities, issuing withholding tax credit notes when applicable.

Prohibited Activities

You agree not to engage in unlawful, fraudulent, abusive or harmful conduct, including but not limited to:

  • Circumventing platform fees or transacting off-platform after initial contact.
  • Submitting false claims, chargeback abuse or manipulating reviews.
  • Uploading malicious code, scraping data or interfering with the Platform’s infrastructure.
  • Money laundering, terror financing, phishing or identity theft.
  • Using automated bots without our written consent.
  • Infringing third-party intellectual property rights.
  • Listing items that breach public policy or regulatory directives.
  • Harassing, threatening or discriminating against other users or our staff.

Content and Intellectual Property

All trademarks, service marks, logos and proprietary content displayed on the Platform are owned by us or our licensors. You receive a limited, revocable, non-transferable license to access and use the Platform in accordance with these Terms. By uploading content (reviews, images, product descriptions) you grant us a worldwide, royalty-free license to host, store, reproduce, adapt, communicate and display such content for the purposes of operating and promoting the Platform. You represent that you have the necessary rights to grant this licence and that your content does not infringe third-party rights.

Data Protection and Communications

Our processing of personal data is governed by the Taja.Shop Privacy Policy and the Nigerian Data Protection Regulation (NDPR). We act as Data Controller for user accounts and as Data Processor when handling data on behalf of Sellers (e.g. order fulfilment). Sellers must comply with NDPR, GDPR (where applicable) and any cross-border data transfer requirements when exporting Buyer information.

By using the Platform you consent to receiving service, security, transactional and marketing communications. You may opt out of marketing emails through the unsubscribe link. We may monitor communications transmitted via Platform tools to prevent fraud, enforce policies and improve service quality.

Third-Party Services

The Platform integrates services from third parties (payment gateways, cloud hosting, analytics, logistics providers). Use of those services may be subject to additional terms imposed by the respective providers. We are not responsible for the content, privacy policies or practices of third-party platforms, and we do not endorse or assume liability for your interactions with them.

Suspension and Termination

We may suspend or terminate access, delist products, withhold settlements or apply other remedial actions if we suspect policy breaches, fraud, non-delivery, chargeback spikes, regulatory directives or reputational risk. You remain liable for outstanding obligations (fees, refunds, chargebacks) post-termination. Sellers can close their store upon 7 days’ written notice provided all open orders are fulfilled and financial obligations settled.

Warranties and Limitation of Liability

THE PLATFORM IS PROVIDED “AS IS” AND “AS AVAILABLE”. WE DISCLAIM ALL EXPRESS OR IMPLIED WARRANTIES INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT AND CONTINUOUS AVAILABILITY. TO THE MAXIMUM EXTENT PERMITTED BY LAW, TAJA.SHOP SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL OR CONSEQUENTIAL DAMAGES, LOSS OF PROFITS, GOODWILL, DATA OR OTHER INTANGIBLE LOSSES ARISING FROM YOUR USE OF THE PLATFORM, EVEN IF ADVISED OF THE POSSIBILITY.

Our aggregate liability in connection with any claim shall not exceed the total fees you paid to us in the three (3) months preceding the event giving rise to the claim.

Indemnity

You agree to indemnify, defend and hold harmless Taja.Shop, its directors, officers, employees, agents and affiliates from and against all claims, damages, obligations, losses, liabilities, penalties, costs or debt, and expenses (including reasonable legal fees) arising from your breach of these Terms, your misuse of the Platform, your violation of Applicable Laws, or your violation of any third-party rights.

Governing Law and Dispute Resolution

These Terms are governed by the laws of the Federal Republic of Nigeria. Parties shall first attempt to resolve disputes amicably within 30 days. If unresolved, disputes shall be referred to mediation administered by the Lagos Multi-Door Courthouse. Should mediation fail, disputes may be submitted to arbitration in Lagos in accordance with the Arbitration and Mediation Act 2023, with proceedings conducted in English. The arbitral award shall be final and binding.

Updates and Contact

We may amend these Terms to reflect operational, legal or regulatory changes. Material updates will be announced via email, dashboard notification or prominent notice on the Platform at least 30 days before they take effect. Continued use after the effective date constitutes acceptance.
